Our company is managed under a corporate governance framework and guided by Corporate Governance Guidelines that ensure we operate within applicable legal statutes and New York Stock Exchange listing requirements, and consistent with ethical global business standards.

In addition to our company’s Consitution, our Code of Conduct, which applies to all employees throughout the world, confirms our commitment to ethical behavior and compliance with laws wherever we work. Ingersoll Rand has a Global Human Rights Policy and an Environment, Health & Safety Policy. The company believes that the fundamental values set forth in these policies should serve as our global minimum business standards.

The Corporate Governance and Nominating Committee of our Board of Directors regularly reviews the company’s governance practices to ensure that we remain current with and operate in accordance with all applicable legal and New York Stock Exchange requirements.

The Board of Directors has the following Committees and Charters: Audit, Compensation, Corporate Governance and Nominating, Finance, Technology and Innovation and Executive. All committees have written, Board-approved charters detailing their responsibilities.
